특 집 국영회사의 정부 지분 매각 추진(추가)

□ 주요 국영회사의 정부 지분 15% 이상 매각 추진(norma, 2.16)

ㅇ 2016.2.10. 우즈베키스탄은 「국영주식회사의 외국투자 유치 추가방안 대통령 결의」(PP-2454, 2015.12.21.) 시행을 위해 매각 대상의 89개 주식회사 목록을 채택하여 발표함(내각결의 33호, 2016.2.10.)

- 이에 따라 ‘Uzbektelecom’(국영통신사), ‘Uzbekistan Pochtasi’(우체국),

‘Uzbekengilsanoat’(경공업성), 5개 은행(Asaka, AgroBank, Ipoteka Bank, MikroKreditBank, Qishloq Qurilish Bank), ‘Sharkynkumir’(석탄공사) 등 주요 공기업의 지분 매각이 추진될 예정

※ 우즈베키스탄은 2015년 공기업 민영화를 위해 대통령의 결의(PP-2340, 2015.4.28.)를 통해 외국인투자자만 투자 가능한 68개 공기업을 선정, 정부보유 주식 매각을 추진하였 으며, 또한 2015.11.5~6 타슈켄트에서 국제투자포럼을 개최하여 외국 기업 및 금융기관과 124억불 규모의 104개의 투자계약 및 공기업 지분 매각 MOU가 서명되었다고 발표

- 특히 동 포럼 계기 한국기업과 약 11억불 규모의 25개 계약 및 MOU가 체결되었으며, 이중 민영화 관련 약 2억불을 상회하는 공기업 지분 매각 관련 19개 MOU 서명

ㅇ 금번 결의에 따라 총 89개 기업이 선정되어 해외 투자용으로 정부 지분의 15% 이상 매각되어야 하며, 2016.7.1.까지 15% 이상의 외국인 지분 조건을 충족하지 못하는 경우 해당 기업은 다른 사업형태로 전환해야 함.

- 25개 기업: 외국 투자자 대상으로 정부 보유 지분 15% 이상 매각(1번 부록)

- 64개 기업: 외국 투자자 대상으로 주식 추가발행 등을 통해 정부 보유 지분 15% 이상 매각(2번 부록)

- 단, 전략적 천연자원의 1차 가공/제조, 독점기업, 규제가격에 따른 사회주요 상품/서비스 부문 기업(262개)들은 상기 의무사항에서 면제(3번 부록)

ㅇ 동 결의의 이행을 위하여 「주식회사 효율성 개선/경영 개선 위원회」

(2015.3.31., PP-2347, 아지모프 제1 부총리 담당) 및 내각 산하 해당 담당실 (Complexes)은 1번 부록에 명시된 25개 기업의 주식에 대한 평가 및 상장 일정을 1개월 기간내(3.10.까지) 승인해야 함.

- 해당 국가기관/기업은 10일 이내(2.20.까지) 국가토지지질대장위원회 및 지 방 행정기관과 공동으로 1번/2번 부록에 명시된 국영주식회사의 주식 평가 및 재고 평가를 위한 필요한 상세 기업 정보(토지대장 등)를 마련

- 동 위원회 및 내각 담당실(Complexes)은 매각 관련 외국투자자 유치 관련 시행 작업들에 대한 해당 국가기관/기업의 단체장의 보고를 정기적으로 청취 하고, 내각 산하 해당 담당실(Complexes) 부총리는 기업이 제출한 제안서에 기초하여 외국인 투자자 유치 일정 및 진행 상황을 지속적으로 관리

- 법무부, 지방행정기관, 기업, 국영주식회사 주주들과 공동으로 정해진 기간내 자본금의 15%를 외국인 투자자에게 매각하지 않은 주식회사 관련 2016.12.1.일까지 다른 사업형태 전환할 수 있도록 보장

- 이외에도 2016.7.1.부터 설립되는 신규주식회사의 경우 외국투자자 지분이 15% 이상의 경우에만 설립이 가능(단 대통령/내각결의 허가시 제외)
