A. In relation to the Borrower:
1. This Agreement duly executed by the Borrower.

2. A copy, certified a true copy by a duly authorised officer of the Borrower, of the Memorandum and Articles of Association and all other constitutional documents of the Borrower .

용어 설명
Memorandum of Association: 영국법 상 (등록) 회사를 설립할 때 작성하여 등기소(company registry) 에 등기하여야 하는 서류로서 회사의 이름, 등록 소재지, 목적, 수권 자본액, 유한책임회사인 경우 그 사실 등을 그 내용으로 하며 우리 말로 ‘기본정관’이라고 하기도 한다.
Articles of Association: 영국법 상 Memorandum 에서 정한 사항 이외의 회사의 조직과 절차 등을 정 하는 문서로서 우리말로 ‘부수정관’이라고도 하며, Memorandum 과 함께 회사의 조직에 관한 문서 (constitution)을 이룬다.
3. A copy, certified a true copy by a duly authorised officer of the Borrower, of a board of resolution of the Borrower approving the execution, delivery and performance of the Borrower and the terms and conditions hereof and authorising a named individual or individuals to sign this Agreement and any documents to be delivered by the Borrower pursuant hereto.

4. A certificate of a duly authorised officer of the Borrower setting out the names and specimen signatures of the individuals authorised to sign, on behalf of the Borrower, this Agreement and any documents to be delivered by the Borrower pursuant hereto.
제반 서류를 서명하는 자의 이름과 그 서명에 관한 증명서
5. Evidence that [송달대리인 이름] has agreed to act as the agent of the Borrower for the service of process in England.
차주를 대신하여 소송 서류를 송달 받을 대리인으로 지정된 자가 대리인 지정에 동의하였음을 보여주는 증명서
B. In relation to the Guarantor
아래 사항은 대출 약정에 보증인이 있는 경우 그 보증인으로부터 받아야 할 서류인데 그 내용은 차주에 관 한 것과 유사하므로 그 내용에 대하여서는 위 차주에 관한 사항을 참조함.
1. The Guarantee duly executed by the Guarantor.
2. A copy, certified a true copy by a duly authorised officer of the Guarantor, of the Memorandum and Articles of Association and all other constitutional documents of the Guarantor .
3. A copy, certified a true copy by a duly authorised officer of the Guarantor, of a board of resolution of the Guarantor approving the execution, delivery and performance of the Guarantee and the terms and conditions thereof and authorising a named individual or individuals to sign the Guarantee and any documents to be delivered by the Guarantor pursuant hereto.
4. A certificate of a duly authorised officer of the Guarantor setting out the names and specimen signatures of the individuals authorised to sign, on behalf of the Guarantor, the Guarantee and any documents to be delivered by the Guarantor pursuant hereto.
5. The foreign exchange approval from [ ] in respect of the Guarantor which is required under [ ] in relation to the Guarantee.
6. Evidence that [송달대리인 이름] has agreed to act as the agent of the Borrower for the service of process in England.
C. Generally
1. An opinion of [대출 은행측 법률자문 이름], solicitor to the Agent, in a form sarisfactory to the Agent.
1. An opinion of [차주 측 법률자문 이름], [법률자문 소재국] counsel to the Agent, in a form satisfactory to the Agent.
2. Such other documents and opinion relating to this Agreement and/or other Obligor as the Agent may requires.
위는 모두 변호사의 법률 의견서에 관한 내용이다. 일반적으로 법률 의견서는 차주 측, 보증인이 있는 경 우 보증인 측, 대출 은행 측이 모두 필요한데, 의견서의 구체적인 내용은 위에서 예시한 바와 같이 단순히
‘satisfactory to the Agent’라는 형식을 취함으로써 일반적으로 규정하기도 하거나 대출 약정서의 부속서 의 하나로 의견서의 내용을 구체적으로 규정하기도 한다. 어느 쪽을 택하든지 실제 대출계약서를 체결하 기 전에 변호사의 법률 의견서 초안을 다른 약정 관련 서류와 함께 약정의 각 당사자들이 검토하는 과정을 거친다.

1. We refer to the agreement (as from time to time amended, varied, novated or supplemented, the
“Facility Agreement”) dated [ ], 199[ ] and made between [ ] as borrower, [ ] and arrangers, [ ] as managers, [ ] as agent and the financial institutions named therein as banks. Terms defined in the Facility Agreement shall have the same meaning in this notice.
2. We hereby give you notice that, pursuant to the Facility Agreement and on [date of proposed Advance], we wish to borrow an Advance in the amount of [ ] United States Dollars upon the terms and subject to the conditions contained therein.
3. We confirm that, at the date hereof, the representation set out in Clause 16 of the Facility Agreement are true and no Event of Default or Potential Event of Default has occured.
차주는 대출금을 인출할 때마다 약정서상 확약한 내용이 여전히 사실과 부합하고 있다는 점을 확약하여야 하는데 위 조항은 그러한 내용을 담은 것이다.
