1. 대리점 소개 의뢰

We wish to sell our automatic copying machines in your country, and should like to be put in touch with a

company or individual who would be willing to represent us.

The representative we are looking for should be

experienced in this field, and should already be doing business with buyers of office equipment, having

contacts with suitable outlets.

On our part we can offer up to Bright machines with an international reputation, which are already being sold in many countries in Europe.

We are large motorcycle retail chain, with outlets throughout the UK, and are interested in the heavy

touring bikes displayed on your stand at the Milan Trade Fair recently.

As you are probably aware there is an increasing

demand in this country for machines of this type due to increasing traffic congestion, environmental problems and the acceptance of the motorcycle as a common means of transport, rather than just a teenage phase.

And sales of larger machines have increased by more than 70 percent in the last two years.

We are looking for a supplier who will offer us a sole agency to retail heavy machines. At present we

represent a number of manufacturers, but only sell machines up to the 600cc range, which would not

compete with the 750cc, 1000cc, and 1200cc models you make.

We operate on a 10% commission basis on net list

prices, with an additional 3% delcredere commission if required, and we think you could expect an annual turnover of more than £2,000,000. With an advertising allowance we would probably double this figure.

Our customers usually settle with us direct, and we pay our principals by bill of exchange on a quarterly basis.

You can be sure that our organization will offer you first class representation and excellent sales to guarantee the success of your products in this country.

We were pleased to receive your letter of March 1 and to see that you were interested in the machines we

produce.

With regard to your offer, I should tell you straightway that we never use sole agencies anywhere in the world, but rely on merchants buying our products on their own account, then retailing them at market prices in their country.

We, of course, offer a 30% trade discount off net list

prices and a further 5% quantity discount for sales above USD 100,000. We have found sole agencies tend to be rather restrictive both for ourselves and our customers.

As far as advertising is concerned, you will be pleased to hear that we have arranged for an extensive

campaign which begins next month and features our heavy machines.

We are sending dealers throughout Europe brochures, leaflets, and posters to hand to their customers.

You may, on our account, arrange television advertising programs tailored to the special needs in your area. But you should consult with us in advance for expenses in excess of USD 2,000.

This will confirm our agreement with you on your sales representation on a non-exclusive basis in the State of California, pertaining to our products.

You will pursue such leads as you may obtain or as we may supply to you. All sales will be made at such prices as mutually agreed.

You will use your best efforts to promote sales and obtain orders for us and at all times maintain goodwill between customers and the Company.

We are pleased to appoint you as our exclusive sales representative to sell our products as listed separately on Schedule A.

1. Our prices may change from time to time.

2. Your territory where you can sell our products shall be in the States of Arizona, California, Colorado, Idaho, Montana, New Mexico, Nevada, Oregon, Utah,

Washington, and Wyoming.

3. We will furnish you with all sales materials for the products and will keep them updated.

4. You shall use your best efforts to promote, market, and sell our products within the Territory and abide by our policies.

5. The period of your representation shall be for two years.

6. Your commission as set forth on Schedule B shall be paid on the 25th of the month for all shipments made during the preceding month.

7. You are an independent contractor and shall not be considered our partner or employee.

8. This agreement supersedes all prior agreements and shall be construed according to the laws of the State of California.
