ㅇ Project : Selection of the law firm specialised in the real estate sector to support the Embassy of the Republic of Korea in Italy in purchasing a new building for the purpose of using as the embassy building

1. Introduction

ㅇ The Embassy of ROK will select a law firm in the field of real estate to receive the legal assistance and consulting for the purpose of purchasing a new building and relocating to that building.

2. Scope of work

The selected law firm will undertake all the necessary legal assistance and consulting regarding the purchase of a new Embassy building, including the works stated below from 1) to 4).

1) Preliminary examination of candidate buildings

ㅇ Review of the terms and conditions of each candidate building

ㅇ Legal support for the decision on the final candidate building which will be entered into negotiation

- Support for the negotiation with the owner of the candidate building during the below-mentioned phases.

2) Legal due diligence

※ Coordination with notary public(notaio) for legal due diligence ※ Coordination with technicians for technical due diligence

3) Documents related with the contract

ㅇ Preparation and review of all the documents related to the contract such as binding offer, preliminary contract, and final contract etc.

※ Coordination with the notary public(notaio) which will register the acquisition 4) Legal valuation on the taxes which will incur from the purchase of the building

3. Duration

ㅇ The contract enters into force upon its signature by the last of the two parties and it remains valid from the month of April 2018 to 31st December 2018.

ㅇ Should the purchase process take longer than the above-mentioned period, further extension of time can be considered upon agreement of the two parties.

4. Fees

ㅇ Each law firm should propose their fees within the limit of amount as stated below.

- The final fee will be the lower amount between the aggregate amount of the hourly rates per each lawyer, and the capped amount of thirty thousand (30,000) euros.

※ VAT (4%) and contribution to the lawyers’association (4%) will be paid separately.

※ General expenses (approximately 15%) will not be reimbursed.

※ All travels should be agreed in advance with the Embassy which will reimburse the expenses only when deem necessary.

5. Selection Criteria

ㅇ Understanding on how to accomplish the work, Detailed plan, Composition of lawyers, Guarantee for the quality of work

ㅇ Legal service record in the real estate sector, Company profile etc.

ㅇ The amount of fee proposed by the law firm

6. Application deadlines

ㅇ All proposals should be sent via email to ijungpark@gmail.com indicating SELECTION OF LAW FIRM in a subject line from 16th March up to the closing date 23rd March, 2018.

ㅇ The evaluation on the submitted proposals and the decision on the designated law firm will take place no later than 20th April, 2018.

3. The bidder will submit related documents and back-up materials on good faith, not concealing anything. If the documents and materials are found to be unfaithful or fabricated, the Embassy is at its discretion to disqualify the bidder, and the bidder will not raise any objection to the Embassy.
