승낙 (acceptance)

피청약자가 청약에 응하여 계약을 성립시킬 목적으로 청약자에게 행하는 의사표시

계약이 성립되기 위해서는 청약이 무조건, 절대적으로 승낙되어야 함 즉, 청약의 모든 조건에 동의. 조금이라도 동의하지 않는 부분이 있으면 승낙한 것으로 되지 않음

유효한 승낙의

조건 승낙의 의사표시가 계약을 유효하게 성립시키기 위한 요건

• 승낙의 내용은 청약의 내용과 완전하게 일치 할 것

• 승낙은 절대적, 최종적, 무조건 일 것

• 매수인의 구매청약에 대하여 매도인이 아무런 통지 없이 물품을 선적하는 행위

조건부승낙 conditional Acceptance

피청약자가 청약에 조건을 붙여 승낙하는 것, 즉 청약의 내용에 변경·추가 를 행하여 승낙하는 것

조건부청약의 승낙이 아니라 반대청약의 일종이므로 계약이 성립하지 않음 예) Accepted provided shipment by June(6월 15일까지 선적조건으로 승낙하였음)

부분적 승낙 Partial Acceptance

청약의 제조건 중에서 일부분만을 승낙하는 것으로서, 승낙이 아니라 반대청약의 일종이다.

조건부 승낙/부분적 승낙/애매한 승낙

Delay of Acceptance

승낙의 의사표시가 승낙의 회답기간이 경과한 후에 도착한 경우

예) “화요일 정오까지 승낙이 도착하는 것을 조건으로 하는 청약”에 대하여 승낙이 목요일에 도착한 경우

우편상의 사고로 지연된 경우 지정기간내

승낙의 통지가 없는 경우

 청약자가 승낙서를 받지 않고자 하는 경우에는, 귀사 의 회답은 청약의 유효기간 이후에 도착하였으므로 당사자는 받지 않는다는 회답의 통지를 해야 함.

 통지를 태만히 하는 경우, 상대방의 승낙은 지연되 지 않은 것으로 간주되어 계약이 성립됨

처음부터 늦게 발송한 경우

청약의 효력은 상실되지만, 원 청약자가 계약을 성립시키 고자 하는 경우에는, 지체 없이 승낙을 인정한다는 취지 를 통지할 필요가 있다.

계약의 성립을 원하지 않는 경우에는 그대로 방치해도 좋지만, 만일의 분쟁에 대비하여 계약불성립의 통지를 발송하여야 한다.

지연 승낙/지정기간 내 승낙의 통지가 없는 경우

의뢰부승낙 Acceptance with request

피청약자가 청약을 승낙하지만 청약의 내용에 희망사항을 기재하여 승낙, 즉 가능하다면 조건을 변경해 주었으면 하는 내용을 기재하여 승낙하는 것 예) “Accepted. Preferably June Shipment(승낙한다. 가급적이면 6월 선적을 희망한다.)”라고 승낙하는 것

법적으로는 계약을 유효하게 성립시키는 승낙에 해당될 수 있지만, 실무적 으로는 의뢰사항에 진지하에 대응하여야 한다. 분쟁의 발생가능성이 있음 침묵이나 무행위

에 의한 승낙 Acceptance by silence or

inactivity

청약을 수취한 피청약자가 아무런 행위나 회답을 하지 않고 침묵하고 있는 것으로서, 각국의 계약법은 일반원칙으로 침묵을 승낙으로 인정하지 않음 예) “만일 당사자가 15일 이내에 이 청약에 대한 귀사의 청약의 거절을 수 취하지 않는다면, 당사는 당사의 청약이 승낙된 것으로 본다”라고 명기되어 있어도, 피청약자의 침묵은 계약을 성립시키지 못함

청약을 수취한 피청약자가 아무런 회답을 하지 않음에도, 계약이 성립하게 되고 피청약자가 그 계약에 구속된다는 것은 불합리함

통지방법

승낙은 다음의 통신수단에 의하여 구두, 서면 또는 행위에 의하여 통지가능

• 기존의 방법: 전화, 텔렉스, 전보, 우편

• 최근의 방법: EDI, 전자우편(e-mail), 인터넷 폰, 인터넷팩스

• 기타 : 온라인거래에서 마우스를 사용하여 화면상의 버튼을 클릭하거나, 기호나 코드를 입력하는 경우, 내용물을 다운로드 하는 경우 등

그 지정된 방법에 따라야 함

합리적인 방법으로 승낙하면 된다.

청약이 우편으로 행해진 경우에는 우편으로, 텔렉스로 행해진 경우에는 텔 렉스로, 전자우편으로 행해진 경우에는 전자우편으로 각각 승낙하면 됨 이 경우, 청약에 대한 승낙은 관습적으로 가능한 한 빠른 방법이나 주위의 상황에 따라 합리적인 방법으로 또는 청약에서 행해진 방법으로 행하면 됨 예) 청약자가 청약을 하면서 승낙은 EDI로 통지할 것을 요청하였는데, 피청약자가 전자우편으로 승낙의 통지를 하였다면, 지정된 방법 이외의 방법으로 승낙하였으므로 문제가 발생할 수 있음

Further to our letter of 14^th instant, we have been successful in obtaining a small trial order for Lighters you sent us some time back, as per particulars given in the order sheet attached hereto, and shall be obliged if you will kindly let us have your Sales Note in duplicate mentioning the prices we have stated in the Indent, and as soon as we receive this we shall include this too in the letter of credit we will be opening in respect of the other orders we have already place with you.

The difference in price should be placed to the credit of our account, and please follow the instructions we have given in respect of our last order, and the documents should be in the same manner as the ones you have already sent us,

In this case too, we have undertaken to import the goods under our own name, and therefore the Sales Note should be under our own name and licence.
