청약

(Offer) offerer가 offeree와 일정한 조건으로 계약을 체결하고 싶다는 의사표시 계약을 성립시킬 목적의 구두, 서면 , 행동의 법적 구속력 있는 의사표시

청약의 내용 : 상품명, 품질, 사양 등의 설명

가격, 수량, 물품인도시기, 지급조건 등의 거래조건

청약의 유인 (Invitation to

Offer)

상대방이 자기에게 청약을 하도록 유도하는 것, 청약의 준비행위나 예비교섭(preliminary negotiation)

상대방이 청약의 유인을 수락하더라도 계약이 성립되지 않으며, 유인한 측으로부터 승낙의 의사표시가 있어야 비로소 계약이 성립

청약을 하도록 유인하는 일방적인 의사표시이므로 청약과 청약의 유인

1. 청약(오퍼)

청약은 그 내용의 확정력 유무에 따라 확정청약(firm offer)과 불확정청약 (free offer)으로 구분

확정청약 (Firm Offer)

청약자(offeror)가 청약의 내용에 그 효력의 존속기간(유효기간), 즉 승낙 기간을 명시하거나 확정적(취소불능)이라는 문구를 명시한 것

확정적이라는 문구는 있지만 그 유효기간이 명시되지 않은 경우에는 합리 적인 기간 내에는 취소되지 않을 것이라는 것을 확약한 것

유효기간이 정해져 있는 확정청약의 경우라도, 영미법에서는 철회 가능하 다는 원칙을 확립하고 있으나, 대륙법이나 비엔나협약에서는 그 기간 내에 철회할 수 없다고 규정

불확정청약 (Free Offer)

승낙회답의 유효기간을 명시하지 않거나 확정적(취소불능)이라는 문구가 없는 것으로서, 피청약자가 승낙 하기 전에는 언제든지 일방적으로 청약의 내용을 철회 또는 취소할 수 있음

불확정청약이라 하더라도, 청약이 취소되기 전에 피청약자가 합리적인 기간 내에 승낙하면 계약은 성립됨

영미법계의 국가에서는 확정청약이라 하더라도, 철회될 수 있기 때문에 피청약자가 청약을 수취하고 그 내용에 만족한다면 그 유효기간에 여유가 있더라도 가능한 한 신속하게 승낙하여야 한다.

청약의 종류

청약과 함께 송부된 물품을 판매한 후 잔량 반품 조건 조건부 청약(1)

확인조건부청약(offer subject to our final confirmation) 승낙에 대하여 청약자의 최종확인이 있어야만 계약 성립(판 매의 유인에 해당)

청약의

통지방법 청약은 다음과 같은 통신수단에 의하여 구두 또는 서면으로 통지할 수 있다

• 기존의 방법: 전화, 텔렉스, 전보, 우편

• 최근의 방법: EDI, 전자우편(e-mail), 인터넷 폰, 인터넷팩스

청약의

효력발생시기 청약은 청약의 내용이 피청약자에게 도달한 때에 그 효력이 발생한다.

도달주의 (receipt rule)

피청약자는 청약자가 청약을 하였다는 사실을 인지한 경우에만 그 청약에 근거하여 어떠한 행동을 취할 수 있기 때문임

청약이 피청약자에게 도달하지 않거나 늦게 도착하여 생기는 불이익은 청약자 자신이 부담하여야 함

청약 뿐만 아니라, 청약의 철회, 청약의 거절, 반대청약 등도 모두 도달주의 를 채택하고 있음
